Shellpoint Mortgage Servicing (SMS) is one of America’s top-five non-bank mortgage-servicing companies. What is mortgage servicing? Our clients are businesses that own mortgage loans (such as banks and real estate investment firms). On their behalf, we manage (or "service") their loan portfolios, which means that we collect homeowners’ mortgage payments, pay their tax and insurance bills, and help homeowners in default to get current.
 

Primary Function

The Corporate Counsel is responsible for assisting in managing transactional matters by reviewing servicing agreements, loan sales and vendor contracts as well as providing research, opinions or advice and other legal assistance. This individual, under the direction of the General Counsel, will provide counsel to management within the company and act as a liaison with various business units.  

Principal Duties

  • Reviews non-disclosure agreements, RMBS, loan sale, capital markets, subservicing agreements, and other transactional documents -- ensuring that key business concerns and issues are identified for legal or business review.
  • Provides legal support and guidance on various transactional, corporate, employment and compliance matters in support of the company.
  • Systematically conveys portfolio level servicing standards, representations, and contractual requirements to the various business functions. 
  • Help develop system to distill and refine servicing agreement components.
  • Assists in legal issues analysis, research and opinion memoranda as assigned.
  • Reviews and modifies business policies and procedures and provide training when needed.
  • Provide support as a general resource for various business units.
  • Performs related duties as assigned by management.

Education and Experience Requirements  

  • Juris doctor degree.
  • Active Member of a State Bar.
  • 5+ years’ experience of relevant legal experience.
  • Prior mortgage industry experience, in-house experience a plus.

Knowledge, Skill, and Ability Requirements  

  • Knowledge of mortgage servicing, and a variety of financial services related law.
  • Excellent interpersonal, written and communication skills.
  • Excellent research and writing skills.
  • Strong organizational skills and attention to detail is a must.
  • Ability to multi-task, prioritize and establish goals.
  • High degree of professional ethics and integrity.
  • Excellent judgement and analytical skills.
  • Ability to work in a team-oriented, fast-past environment.
  • Proficiency with general Microsoft Office applications.
