Our clients are businesses that own mortgage loans (such as banks and real estate investment firms); on their behalf, we manage (or "service") their loan portfolios: We collect homeowners’ mortgage payments, pay homeowners’ tax and insurance bills, and help homeowners in default to get current.

Summary:

The Senior Corporate Counsel - Transactions assists in the managing of transactional matters primarily focusing on reviewing residential mortgage backed loan securitization agreements and servicing/subservicing agreements and loan sale and other general contracts as well as providing research, opinions or advice and other legal assistance. This role, under the direction of the General Counsel, will provide counsel to management within the company and act as a liaison with various business units regarding complex transactions and contracts.

 

Responsibilities:

  • Reviews Residential Mortgage-Backed Securities (RMBS), loan sale, capital markets, and subservicing agreements and other transactional documents -- ensuring that key business concerns and issues are identified for legal or business review
  • Systematically convey portfolio level servicing standards, representations and contractual requirements to the various business functions
  • Help develop system to distill and refine servicing agreement components
  • Draft and review complex contracts
  • Assist in legal issues analysis, research and opinion memoranda as assigned
  • Provide support as a general resource for various business units

Qualifications/Skills:

  • 5+ years’ experience of relevant legal experience desired, in-house experience a plus
  • Active Member of a State Bar
  • Extensive knowledge of mortgage servicing and financial services related law
  • Excellent interpersonal, written and communication skills
  • Excellent research and writing skills
  • Strong organizational skills and attention to detail is a must
  • Ability to multi-task, prioritize and establish goals
  • Ability to work in a team-oriented, fast-past environment
  • Proficiency with general Microsoft Office applications

Educational Requirements:

  • Juris Doctorate from accredited law school
